Upside Robotics Maize Runner 2027

Please read this Reservation Agreement carefully before placing your reservation for the Upside Robotics Maize Runner 2027 (“Maize Runner,” “Robot,” or “Product”).

By placing a reservation, you agree to be legally bound by these terms.

1. No Purchase Obligation

Your reservation acts as a deposit toward a future purchase opportunity for the Upside Robotics Maize Runner 2027.

Placing a reservation does not obligate you to purchase the Product, and it does not obligate Upside Robotics (“Upside,” “we,” “our,” or “us”) to deliver or manufacture a Product for you.

This Reservation Agreement is not a final sales contract and does not guarantee:

• final pricing

• production timing

• delivery date

• configuration

• features or specifications

To complete a purchase, you will be required to review and sign a final sales agreement when your production slot is ready.

2. Reservation Eligibility

To place a reservation, you must:

• be at least 18 years old

• provide accurate contact and billing information

• be authorized to act on behalf of a farm, business, or organization if reserving for commercial use

If you are reserving on behalf of a company or farm operation, you confirm that you have the authority to bind that entity to this Agreement.

3. Reservation Fee

When you place a reservation, you will be charged the stated Reservation Fee.

This fee reserves your place in line for future production consideration of the Upside Robotics Maize Runner 2027.

Unless otherwise stated, the Reservation Fee will be credited toward your final purchase price if you proceed with a completed order.

4. No Guaranteed Delivery Date

Your reservation secures priority based on reservation timing and production availability, but it does not guarantee a delivery date.

Production timing may depend on factors including:

• manufacturing readiness

• parts and hardware availability

• region and delivery logistics

• final configuration selection

• commercial deployment planning

Upside Robotics may contact you in the future to confirm your configuration and purchase intent before production.

5. Product Development and Specification Changes

You understand that the Maize Runner 2027 may still be in active development at the time of reservation.

As a result, the following may change before final purchase:

• hardware design

• dimensions

• autonomous features

• software capabilities

• integrations

• battery life or runtime

• pricing

• production schedule

Your reservation does not lock in final specifications or guarantee that any announced feature will be included in the final shipped product.

6. Cancellation and Refunds

You may cancel your reservation at any time before signing a final sales agreement.

If your reservation is refundable under the terms presented at checkout, your refund will be returned to your original payment method within a reasonable processing period.

Upside Robotics also reserves the right to cancel any reservation and issue a refund if necessary, including in cases of:

• product discontinuation

• production constraints

• suspected misuse or fraudulent activity

• reservation abuse or bad-faith intent

7. Commercial and Operational Use

The Upside Robotics Maize Runner 2027 is intended for agricultural and commercial field use.

You acknowledge that:

• actual field performance may vary by environment and crop conditions

• autonomous or assisted functions may require setup, training, supervision, or updates

• product performance may depend on terrain, weather, farm layout, and operating conditions

Upside Robotics makes no guarantee that the Product will perform identically across all farm environments.

8. Data and Privacy

By placing a reservation, you agree that Upside Robotics may collect, store, and use the information you provide in accordance with our Privacy Policy and applicable Terms.

This may include information such as:

• your name

• email address

• phone number

• farm or company details

• intended use case

• reservation and payment information

If the Product is purchased and deployed, additional product or usage data may be collected and governed by separate commercial, software, or product terms.

9. Limitation of Liability

To the maximum extent permitted by law, Upside Robotics shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to this Reservation Agreement or your reservation.

Upside Robotics’ total liability under this Agreement shall not exceed the amount of the Reservation Fee paid by you.

10. Changes to This Agreement

Upside Robotics may update or revise this Reservation Agreement from time to time.

If material changes are made, the updated version will be posted with a revised “Last Updated” date.

Your continued participation in the reservation process may require acceptance of updated terms before final purchase.

11. Governing Law

This Reservation Agreement shall be governed by and interpreted in accordance with the laws of the applicable jurisdiction in which Upside Robotics operates or contracts the sale, without regard to conflict of law principles.

12. Entire Agreement

This Reservation Agreement, together with any referenced Terms, Payment Terms, and Privacy Policy, forms the complete agreement between you and Upside Robotics regarding your reservation.
